PREAMBLE

This First Amendment (“First Amendment”) to the Letter of Intent for Collaboration is made as of this 20th day of July by and between the George Washington University (“GW”) a congressionally-chartered non-profit corporation located in the District of Columbia, USA, on behalf of its Global Financial Literacy Excellence Center (“GFLEC”), and the Comissão de Valores Mobiliários (“CVM”), located in Rio de Janeiro, Brazil (each, a “Party”, and together, the “Parties”),

WITNESSETH

WHEREAS, GW and CVM entered into a Letter of Intent for Collaboration (“LOI”) effective November 25, 2018 to memorialize the Parties’ intent to explore various areas of collaboration with the purpose of having a greater impact on the field of financial literacy;

WHEREAS, the term of the LOI is scheduled to expire on November 24, 2020; and

WHEREAS, the Parties, out of a desire to continue |

NOW THEREFORE, GW and CVM, have agreed as follows:

1. Capitalized-terms used herein and not otherwise defined shall have the same meanings as those ascribed to them in the LOI.

2. The term of the LOI is hereby extended for a period of two (2) years (such period being hereinafter referred to as the “First Renewal Period”), which First Renewal Period shall commence as of November 25, 2020 (the “First Renewal Period Commencement Date”) and which such First Renewal Period and the term of the LOI shall expire on November 24, 2022, unless otherwise extended or earlier terminated by the Parties pursuant to the terms of the LOI, as modified by the provisions of this First Amendment gr
